General Terms

Services are available to individuals and entities capable of forming legally binding contracts under applicable law. Use by minors or entities barred from contracting is prohibited. By using VisionTopAI services you represent that you meet applicable eligibility requirements and are acting for lawful business purposes.

Users must be at least 18 years old or, for corporate accounts, authorized representatives acting on behalf of the company. If you sign up for a service on behalf of an organization, you confirm you have the authority to bind that organization to these terms.

You agree to use VisionTopAI services in compliance with all applicable laws and regulations. You must not use our technology for unlawful surveillance, deceptive practices, hate speech, or actions that materially facilitate criminal activity. We evaluate use against our acceptable use policies and applicable legal standards.

Availability of certain features may vary by jurisdiction. Users located in or accessing services from countries subject to activity sanctions or export controls must comply with applicable restrictions. VisionTopAI may restrict or block access where required by law.

Account creation requires accurate information and a valid contact email. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Keep your account details up to date to ensure receipt of important notices.

You must provide truthful and complete information during registration and when updating profile details. Misrepresentations or false information may result in suspension or termination of services and retention of records as required by applicable law.

Implement appropriate security practices for your account, including strong passwords and multi-factor authentication where available. Report suspected unauthorized access immediately to our support team to enable prompt contribute and remediation.

Accounts and credentials are personal and non-transferable without prior written consent from VisionTopAI. Any assignment or transfer attempted without consent is void and may lead to account suspension.

If you suspect your account has been compromised, notify VisionTopAI promptly at [email protected]. Include details of the suspected breach to support incident response. We will take steps to secure the account and contribute as needed.

VisionTopAI may suspend or limit access to services where there is suspected fraud, a security incident, violation of these terms, or legal obligation. During suspension, you may not access or use affected services until the issue is resolved.

VisionTopAI provides AI consulting, model deployment, data integration, and managed AI services tailored to business needs. Service descriptions, deliverables and timelines are defined in statements of work or order forms. We deploy professional expertise and industry-standard tools to deliver agreed scope.

We may update or modify features, APIs and service offerings to improve performance or comply with legal requirements. Major changes that materially affect service delivery will be communicated in advance when feasible, and existing contractual commitments will be honored as mutually agreed.

We strive for high availability of cloud and managed services but some interruptions may occur due to maintenance, upgrades or third-party provider outages. Service-level commitments for availability are specified in applicable service agreements or order forms.

Users must follow conduct rules to ensure fair and lawful use of VisionTopAI services. Unacceptable behaviors include but are not limited to:

• Using the service for unlawful activities, fraud or to infringe third-party rights.
• Attempting to reverse-engineer proprietary platform components or bypass security controls.
• Uploading content that is unlawful, defamatory, or violates privacy rights.
• Interfering with service operations, attempting denial-of-service attacks or introducing malware.
• Using automated scraping or access methods not expressly permitted by VisionTopAI.
• Misrepresenting affiliation with VisionTopAI or its partners in communications.
• Circumventing usage limits, billing controls or licensing terms.

Users may submit data, models, prompts or other content to VisionTopAI for processing or storage. Such submissions are referred to as 'User Content' and remain subject to applicable terms regarding ownership and usage.

You retain ownership of your User Content, subject to any license you grant to VisionTopAI for the purpose of providing services. Ensure you have rights or consents for the content you provide, particularly for personal data belonging to third parties.

By submitting User Content you grant VisionTopAI a limited, non-exclusive, revocable license to use, process and store that content as necessary to deliver the contracted services, improve service reliability and perform security and compliance functions.

You are responsible for the legality, quality and format of User Content. VisionTopAI may refuse or remove content that violates policies or threatens security. You must not submit content intended to mislead, impersonate others, or facilitate unlawful acts.

Requests for removal of User Content should be submitted to [email protected] with clear identifiers of the content and the reason for removal. We evaluate requests against contractual obligations, legal requirements and operational considerations.

All intellectual property rights in VisionTopAI’s platform, software, activity and documentation remain the property of VisionTopAI or its licensors. Users are granted only the rights expressly stated in these terms or in an applicable agreement.

• Do not copy, modify or create derivative works of VisionTopAI proprietary software without authorization.
• Do not remove or alter copyright, activity or other proprietary notices from VisionTopAI materials.
• Do not use VisionTopAI activity or logos without prior written permission for branding or promotional purposes.

Paid services include subscription plans, professional services engagements and custom development. Each paid engagement is governed by the applicable order form, statement of work and these terms.

Pricing is set out in the relevant order form or pricing schedule. Fees are expressed in the currency specified and exclude applicable taxes unless stated. Special offers or promotional pricing are time-limited and subject to change.

Invoices are due in accordance with the payment terms on the invoice or contract. Late payments may attract interest charges and may result in service suspension after notice. Payment methods accepted are listed on invoices or by arrangement.

Subscription services renew automatically at the end of each term unless cancelled in accordance with the subscription agreement. Renewal fees will be charged at the then-current rates unless otherwise agreed in writing.

Refunds are handled per the refund policy specified in your service agreement. Generally, fees for professional services are non-refundable once work has commenced. Subscription refunds are evaluated case-by-case and subject to contractual terms.

To cancel a subscription or paid engagement, follow the cancellation procedures in your contract. Cancellation may require advance notice and could result in termination fees for certain engagements outlined in the order form.

You are responsible for any taxes, duties or levies imposed by applicable authorities in connection with your use of paid services, excluding taxes based on VisionTopAI’s net revenue.

VisionTopAI may adjust service pricing with advance notice for renewals. Price increases for existing subscriptions will be communicated and will take effect from the next billing cycle unless otherwise specified in your agreement.

Non-payment may lead to suspension of services and collection actions. VisionTopAI will provide notice and an opportunity to cure before taking disruptive action except where urgent safety, security or legal obligations necessitate immediate measures.

VisionTopAI provides services on an 'as-is' basis to the extent permitted by law. We share professional expertise and technical solutions informed by data and industry practice, but outcomes depend on client inputs, data quality and changing technical conditions. Clients are responsible for validation, deployment decisions and compliance with applicable laws.

To the maximum extent permitted by law, VisionTopAI’s liability for direct damages arising out of or relating to these terms is limited to the fees paid by you for the applicable service in the 12 months preceding the incident. In no event will VisionTopAI be liable for consequential, incidental, special or punitive damages.

Third-party software, services or content integrated with VisionTopAI offerings are subject to separate terms and are not controlled by VisionTopAI. We do not assume liability for third-party service disruptions or conduct; any claims should be directed to the relevant third party in accordance with their terms.

Either party may terminate a service agreement as specified in the contract. VisionTopAI may suspend or terminate accounts for breach of these terms, unlawful use or when required by law. Termination does not relieve either party of accrued obligations, including payment for services rendered.

On termination, VisionTopAI will cease providing services and may delete or archive stored User Content in accordance with the retention provisions of the agreement and applicable laws. You are responsible for exporting your data prior to termination where required.

VisionTopAI processes personal data in accordance with its Privacy Policy, which forms part of these terms. Our practices address collection, use, retention and disclosure of personal data and provide mechanisms for users to exercise data subject rights.

Notices under these terms may be delivered via email, postal mail to the address on file, or posted on VisionTopAI.digital. Electronic notices are considered delivered when sent; postal notices are considered delivered three business days after mailing unless otherwise required by law.

VisionTopAI may revise these terms to reflect changes in services, legal requirements or business practices. We will notify users of material changes via email or website notice. Continued use after changes constitutes acceptance of the updated terms.

These terms are governed by and construed in accordance with the laws applicable in Malaysia, without regard to conflict of law principles, except where a different jurisdiction is expressly agreed in a service contract.

Parties will seek to resolve disputes through good-faith negotiations. If unresolved, disputes may be referred to mediation or arbitration as set out in the applicable service agreement. Courts in Malaysia retain jurisdiction for matters not subject to alternative dispute resolution.
